PLEASE READ THESE TERMS AND CONDITIONS CAREFULLY BEFORE ENROLLING IN OR PARTICIPATING IN THE PRO BEAUTY SHOPS PRO POINTS LOYALTY PROGRAM. BY ENROLLING IN THE PROGRAM, YOU ACKNOWLEDGE THAT YOU HAVE READ, UNDERSTOOD, AND AGREE TO BE BOUND BY THESE TERMS AND CONDITIONS.

1. PROGRAM OVERVIEW AND DEFINITIONS

1.1 Program Overview

Pro Beauty Shops Pro Points (the "Program") is a loyalty rewards program operated by Pro Beauty Shops ("PBS," "we," "us," or "our") exclusively for licensed beauty professionals. The Program allows eligible participants to earn points ("Points") on qualifying purchases and activities, and to redeem those Points for store credit, free products or other perks (e.g., free expedited shipping), subject to these Terms and Conditions (the "Terms").

By enrolling in or participating in the online-only Program, you ("Member," "you," or "your") acknowledge that you have read, understood, and agree to be bound by these Terms. PBS reserves the right to modify these Terms at any time in accordance with Section 10.

1.2 Definitions

  1. "Account" means the registered PBS Pro Points loyalty account associated with a Member's verified professional license.
  2. "Earning Action" means any qualifying activity that results in the accrual of Points, including but not limited to purchases, account creation, survey completion, product reviews, and referrals.
  3. "Full-Price Purchase" means a purchase of products at the listed retail price, excluding items subject to sitewide promotions, event pricing (e.g., Black Friday), or clearance pricing.
  4. "Inactivity Period" means a consecutive twelve (12) month period during which a Member's Account records no qualifying purchase or Earning Action.
  5. "Points" means the loyalty currency earned and redeemed under this Program, as further described in Sections 3 and 5.
  6. "Qualifying Purchase" means a Full-Price Purchase of a minimum of seventy-five dollars ($75) before tax or shipping cost made through the PBS website or other authorized sales channel by an eligible Member using a verified Account.
  7. "Referral" means a successful introduction of a new licensed beauty professional to the Program through the Pro Knows Pro referral program described in Section 7.
  8. "Store Credit" means the monetary credit applied to a Member's Account upon redemption of Points, redeemable toward future Qualifying Purchases.
  9. "UGC Submission" means a user-generated content submission, including product reviews, photographs, or video testimonials, submitted by a Member for consideration.
  10. "VIP Tier" means one of the three membership levels (Licensed Artist, Studio Pro, or Salon Elite) determined by a Member's annual qualifying spend, as described in Section 4.
  11. "Program Platform" means the Appstle loyalty platform through which the Program is administered.
  12. "Business Entity" means a legally organized and licensed professional beauty services business, including but not limited to salons, spas, esthetician practices, and independent beauty professionals.

2. ELIGIBILITY AND ENROLLMENT

2.1 Eligibility Requirements

The Program is open exclusively to licensed beauty professionals, including but not limited to estheticians, cosmetologists, lash artists, nail technicians, salon owners, and spa operators. All Members must meet the following eligibility criteria:

  1. Be a natural person of at least eighteen (18) years of age or the age of majority in their jurisdiction of residence, whichever is greater;
  2. Hold a valid, current professional license issued by a recognized state or territorial licensing authority authorizing the practice of cosmetology, esthetics, or a related beauty discipline;
  3. Operate or be employed by a legitimate Business Entity; and
  4. Maintain a valid email address and agree to receive Program-related communications.

BY APPLYING FOR MEMBERSHIP IN THE PROGRAM, YOU AGREE YOU HAVE AGE ELIGIBILITY AND LEGAL ELIGIBILITY TO BE BOUND BY THESE TERMS. NO PURCHASE IS NECESSARY TO BECOME A MEMBER.

2.2 Enrollment Process

To enroll, eligible professionals must create an Account on the PBS website and complete the license verification process. Enrollment is not complete until PBS has verified the applicant's professional license. PBS reserves the right to reject any enrollment application that does not satisfy the eligibility requirements set forth herein.

2.3 One Account Per Professional License

Each licensed professional is limited to one (1) Account. Multiple Accounts associated with the same individual or professional license may be consolidated or terminated at PBS's sole discretion.

3. EARNING POINTS

3.1 Base Earning Rate

Members earn one (1) Point for every one dollar ($1.00) spent on any Full-Price Purchase. Points are calculated on the pre-tax, pre-shipping subtotal of the order. Points are not earned on taxes, shipping charges, gift card purchases, or any non-product fees.

3.2 Bonus Earning Opportunities

  1. Account Creation and License Verification: One hundred (100) Points upon verified Account creation;
  2. Onboarding Survey: Seventy-five (75) Points upon completion of the salon setup quiz during onboarding;
  3. Product Review (UGC Submission): Fifty (50) Points per approved UGC Submission; twenty (20) Points per approved comment review;
  4. Birthday Bonus: One hundred (100) Points awarded annually on the Member's verified birthday;
  5. Business Anniversary Bonus: One hundred (100) Points awarded annually on the anniversary of the Member's Account creation;
  6. Hero Product Incentive: A two-times (2×) Points multiplier applied to designated high-margin products during the applicable launch week, as determined by PBS in its sole discretion; and
  7. Other bonus earning opportunities as described and promoted by PBS from time to time in its sole discretion.

3.3 Points Accrual

Points are credited to a Member's Account upon confirmation of a Qualifying Purchase or completion of an Earning Action. PBS reserves the right to withhold Points pending verification of any transaction or activity. Points earned on purchases that are subsequently returned, refunded, or charged back will be deducted from the Member's Account. If a deduction results in a negative Points balance, such negative balance must be cured before additional Points may be redeemed.

3.4 Points Adjustments

It may take up to twenty-four (24) hours after each Qualifying Purchase or Earning Action for Points to be posted to a Member's account. A member may request credit for Points that are not reflected in a Member's Account by contacting PBS Customer Support. All requests must be received within thirty (30) days of a Qualifying Purchase or Earning Action.

3.5 Taxes

Points may be subject to income or other taxes. The Member is responsible for paying all such taxes and for making all applicable disclosures to third parties including, without limitation, the party who paid for the transaction from with the Member earned Points. PBS will not be liable for any tax liability, duty, or other charges in connection with the issuance of Points or other Member benefits.

4. VIP TIER STRUCTURE AND BENEFITS

4.1 Tier Qualification

The Program features three VIP Tiers based on a Member's cumulative annual qualifying spend during a rolling twelve (12) month period, calculated from the date of the Member's most recent tier qualification or recalculation:

4.2 Tier Benefits

VIP Tier benefits, including Points multipliers and shipping thresholds, are applied automatically. The Points multiplier for each VIP Tier is applied at the time of purchase and determines the rate at which Points accrue on Qualifying Purchases. For the avoidance of doubt, bonus Points earned through non-purchase Earning Actions (e.g., product reviews, birthday bonuses) are not subject to the VIP Tier multiplier unless expressly stated otherwise.

4.3 Tier Maintenance and Recalculation

VIP Tier status is evaluated on a rolling twelve (12) month basis. If a Member's cumulative annual qualifying spend falls below the minimum threshold for their current VIP Tier at the time of recalculation, the Member will be reassigned to the appropriate lower tier. PBS will provide reasonable notice prior to any tier downgrade. Tier status is non-transferable.

5. REDEMPTION OF POINTS

5.1 Store Credit Redemption

Members may redeem accumulated Points for Store Credit at the following fixed conversion rates:

  1. One hundred (100) Points = Five dollars ($5.00) Store Credit;
  2. Two hundred (200) Points = Ten dollars ($10.00) Store Credit; and
  3. Five hundred (500) Points = Twenty-five dollars ($25.00) Store Credit.

Store Credit is applied at checkout via the checkout slider and is treated as deferred store credit. Store Credit may only be applied to Qualifying Purchases and is subject to the stacking restrictions set forth in Section 8.

5.2 Free Product Redemptions

PBS may, from time to time and in its sole discretion, offer free product redemptions as an alternative to Store Credit. The availability, selection, and Point cost of free product redemptions are determined by PBS and are subject to change without notice. Free product redemptions are subject to product availability and may not be exchanged for cash or Store Credit.

5.3 General Redemption Terms

  1. Points have no cash value and are not redeemable for cash, check, or any form of monetary payment;
  2. Points are not transferable between Accounts or to any third party;
  3. Points may not be used for gift cards and cannot be used as payment for any in-store paid services.
  4. Points do not constitute property of the Member and confer no vested right, title, or interest;
  5. Fractional Points are not redeemable; Members must accumulate the minimum threshold before redemption; and
  6. PBS reserves the right to modify redemption rates, options, and thresholds at any time upon reasonable notice to Members.

6. POINT EXPIRATION AND ACCOUNT INACTIVITY

6.1 Expiration Policy

It's our hope that you redeem your Points on a regular basis. All Points in a Member's Account shall expire upon the conclusion of an Inactivity Period, defined as twelve (12) consecutive months during which the Account records no Qualifying Purchase or Earning Action.

6.2 Expiration Notice

PBS will send an automated notification to the Member's registered email address approximately thirty (30) days prior to the scheduled expiration of Points. It is the Member's sole responsibility to ensure that the email address associated with their Account is current and accurate. Failure to receive or read the expiration notice does not extend the Inactivity Period or prevent the expiration of Points.

6.3 Effect of Expiration

Upon expiration, all accumulated Points and Store Credit in the affected Account will be forfeited in their entirety. Expired Points and Store Credit cannot be reinstated, restored, or credited back to the Member's Account under any circumstances.

7. REFERRAL PROGRAM ("PRO KNOWS PRO")

7.1 Referral Program Overview

The Pro Knows Pro referral program enables existing Members (each, a "Referrer") to earn bonus Points by referring new licensed beauty professionals (each, a "Referee") to the Program.

7.2 Referral Rewards

  1. Referrer Reward: The Referrer shall receive a twenty-dollar ($20.00) Store Credit upon the successful completion of the Referee's license verification and Account activation;
  2. Referee Reward: The Referee shall receive a twenty-dollar ($20.00) welcome credit applied to the Referee's initial Qualifying Purchase; and
  3. Referral rewards are subject to verification and will not be distributed until the Referee has completed the full enrollment and license verification process described in Section 2.

7.3 Referral Program Restrictions

  1. Self-referrals are prohibited. A Member may not refer themselves under a different name, email address, or Business Entity;
  2. Referral rewards are limited to legitimate, arm's-length referrals. PBS reserves the right to withhold or revoke referral rewards if it determines, in its sole discretion, that a referral was made through fraudulent, deceptive, or manipulative means;
  3. PBS reserves the right to impose a cap on the number of referral rewards a single Member may earn during any specified period;
  4. The Pro Knows Pro referral program may not be available in all jurisdictions and restrictions may apply; and
  5. The Pro Knows Pro referral program may be modified, suspended, or terminated by PBS at any time without prior notice.

8. STACKING RESTRICTIONS AND PROMOTIONAL EXCLUSIONS

8.1 Non-Stacking Policy

Points redemptions (whether Store Credit or free product redemptions) may not be combined with or applied concurrently with any of the following:

  1. Sitewide promotional discounts or coupon codes;
  2. Designated event pricing (e.g., Black Friday, Cyber Monday);
  3. Clearance or closeout pricing on discontinued inventory; or
  4. Any other promotional offer or discount that PBS designates as non-stackable.

8.2 Automatic Enforcement

Stacking restrictions are enforced automatically at checkout through the Program Platform. In the event of a conflict between a promotional discount and a Points redemption, the system will apply the promotional discount and exclude the Points redemption. Members may elect to forgo the promotional discount in order to apply their Points redemption instead, subject to system availability.

8.3 Exclusions from Point Earning

Points are not earned on purchases made using promotional pricing, clearance pricing, or any other non-full-price transaction. Gift card purchases, taxes, shipping fees, and any non-product charges are also excluded from Point earning calculations.

9. ACCOUNT MANAGEMENT

9.1 Monitoring Accounts

PBS reserves the right to monitor the accounts of all Members, at any time and without notice, for compliance with Program rules. PBS may review all Members' Points balances and transaction history and other benefits without limitation.

9.2 Account Responsibility

Each Member is solely responsible for maintaining the confidentiality and security of their Account credentials. PBS shall not be liable for any unauthorized access to or use of a Member's Account. Members must notify PBS immediately upon becoming aware of any unauthorized use of their Account.

9.3 Account Information

Members are responsible for maintaining accurate and current Account information, including but not limited to name, email address, professional license status, and Business Entity information. PBS reserves the right to suspend or terminate any Account that contains materially inaccurate or outdated information.

9.4 Account Closure by Member

A Member may request closure of their Account at any time by contacting PBS customer support. Upon Account closure, all accumulated Points shall be forfeited and may not be reinstated. Any outstanding Store Credit balance must be used prior to Account closure; unused Store Credit will be forfeited upon closure. PBS reserves the right to close any Account at any time for any reason, including but not limited to violations of these Terms. PBS will automatically terminate accounts after thirty-six (36) months of inactivity. If an account is reopened after account closure or termination, the Member will re-enroll at Tier 1- Licensed Artist level.

9.5 Account Termination by PBS

PBS may immediately terminate a Members's account and participation in the Program without prior notice, if the Member violates these Terms or other agreement between the Member and PBS. Upon such termination, all accumulated Points and Store Credit shall be forfeited immediately, without any opportunity to redeem them.

10. PROGRAM MODIFICATIONS AND TERMINATION

10.1 Right to Modify

PBS reserves the right, in its sole and absolute discretion, to modify, amend, or update these Terms, including but not limited to changes to Point earning rates, redemption values, VIP Tier thresholds, expiration policies, and any other Program features or benefits, at any time and without prior notice. Any such modifications shall be effective immediately upon posting of the updated Terms on the PBS website unless otherwise specified.

10.2 Program Termination

PBS reserves the right to suspend or terminate the Program, in whole or in part, at any time and for any reason, with or without prior notice. In the event of Program termination, PBS will provide Members with a reasonable period (not less than thirty (30) days from the date of the termination notice) to redeem any outstanding Points balance, subject to the redemption options and restrictions then in effect. After the expiration of the redemption period, all unredeemed Points shall be forfeited without compensation.

10.3 No Vested Rights

Participation in the Program does not create any vested right, entitlement, or contractual obligation on the part of PBS to continue the Program or to maintain any particular Point value, earning rate, or redemption option. Members acknowledge that Points are a promotional incentive and not a form of currency, property, or consideration.

11. FRAUD AND ABUSE

11.1 Prohibited Conduct

The following conduct is prohibited and may result in the immediate suspension or termination of a Member's Account and forfeiture of all accumulated Points and Store Credit:

  1. Providing false, misleading, or fraudulent information during enrollment or at any time during participation in the Program, including but not limited to misrepresenting professional license status;
  2. Creating multiple Accounts for the same Business Entity or individual, or using fictitious identities to create Accounts;
  3. Manipulating, exploiting, or abusing the Program mechanics, including the referral program, Point earning opportunities, or redemption system, in a manner inconsistent with the intended purpose of the Program;
  4. Engaging in or facilitating the sale, barter, transfer, or exchange of Points, Store Credit, or referral codes to or with third parties;
  5. Using automated systems, bots, scripts, or other technological means to earn Points, submit reviews, or otherwise interact with the Program; and
  6. Any other conduct that PBS determines, in its sole discretion, constitutes fraud, abuse, or a violation of the spirit of the Program.

11.2 Investigation and Remedies

PBS reserves the right to investigate suspected fraud or abuse and to take any remedial action it deems appropriate, including but not limited to: suspension or termination of the Member's Account; forfeiture of all accumulated Points and Store Credit; reversal of any Points earned or Store Credit issued through fraudulent or abusive means; and pursuit of any available legal remedies. PBS's determination regarding fraud or abuse shall be final and binding.

12. LIMITATION OF LIABILITY

12.1 Disclaimer of Warranties

THE PROGRAM IS PROVIDED ON AN "AS IS" AND "AS AVAILABLE" BASIS. TO THE FULLEST EXTENT PERMITTED BY APPLICABLE LAW, PBS DISCLAIMS ALL WARRANTIES, WHETHER EXPRESS, IMPLIED, STATUTORY, OR OTHERWISE, INCLUDING BUT NOT LIMITED TO WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT, WITH RESPECT TO THE PROGRAM, POINTS, STORE CREDIT, AND ANY PRODUCTS OR SERVICES OBTAINED THROUGH THE PROGRAM.

12.2 Limitation of Liability

TO THE FULLEST EXTENT PERMITTED BY APPLICABLE LAW, IN NO EVENT SHALL PBS, ITS AFFILIATES, OFFICERS, DIRECTORS, EMPLOYEES, AGENTS, OR LICENSORS BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING BUT NOT LIMITED TO LOSS OF PROFITS, DATA, BUSINESS OPPORTUNITIES, OR GOODWILL, ARISING OUT OF OR IN CONNECTION WITH THE PROGRAM, THESE TERMS, OR ANY MEMBER'S PARTICIPATION IN OR INABILITY TO PARTICIPATE IN THE PROGRAM, REGARDLESS OF THE THEORY OF LIABILITY AND EVEN IF PBS HAS BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.

PBS'S TOTAL AGGREGATE LIABILITY ARISING OUT OF OR IN CONNECTION WITH THE PROGRAM AND THESE TERMS SHALL NOT EXCEED THE LESSER OF (A) THE TOTAL VALUE OF POINTS IN THE MEMBER'S ACCOUNT AT THE TIME THE CLAIM ARISES, OR (B) ONE HUNDRED DOLLARS ($100.00).

13. GOVERNING LAW AND DISPUTE RESOLUTION

13.1 Governing Law

These Terms and any disputes arising out of or relating to the Program shall be governed by and construed in accordance with the laws of the State of California, without regard to its conflict of laws principles. You are prohibited from joining the Program if you are a "Tester." For purposes of these Terms, a Tester is defined as an "individual whose primary purpose of joining, or attempting to join the Program is to seek to identify legal violations in connection with the Program."

13.2 Dispute Resolution

There might be an occasion in which you and PBS are subject to a Dispute (as defined below) that directly or indirectly arises out of, or relates, to these Terms or the Program. In the event of such a Dispute, each party hereby agrees

  • to comply with the Mandatory Informal Dispute Resolution Process as set forth in the PBS website Terms and Conditions, and,
  • that, if the Mandatory Informal Dispute Resolution Process does not resolve the Dispute, then it will comply with the Formal Dispute Resolution Process set forth in the PBS website Terms and Conditions.

For purposes of these Terms, the term "Dispute" shall be interpreted as broadly as permitted under the law and shall cover any claim or controversy, related to Company or our relationship with you, including but not limited to, any and all: (i) claims for relief and theories of liability, whether based in contract, tort, fraud, misrepresentation, negligence, statute, regulation, ordinance, or otherwise; (ii) claims that arose before these Terms; (iii) claims that arise after the termination of these Terms; and (iv) claims that are the subject of purported class action litigation.

13.3 Class Action Waiver

TO THE FULLEST EXTENT PERMITTED BY APPLICABLE LAW, ALL CLAIMS AND DISPUTES ARISING UNDER OR RELATING TO THE PROGRAM OR THESE TERMS MUST BE BROUGHT IN THE MEMBER'S INDIVIDUAL CAPACITY AND NOT AS A PLAINTIFF OR CLASS MEMBER IN ANY PURPORTED CLASS, COLLECTIVE, OR REPRESENTATIVE ACTION. THE ARBITRATOR MAY NOT CONSOLIDATE MORE THAN ONE PERSON'S CLAIMS AND MAY NOT PRESIDE OVER ANY FORM OF CLASS, COLLECTIVE, OR REPRESENTATIVE PROCEEDING.

14. PRIVACY AND DATA USE

14.1 Data Collection

By participating in the Program, Members consent to the collection, use, storage, and processing of personal information as described in the PBS Privacy Policy, which is incorporated herein by reference. Information collected in connection with the Program may include, without limitation, name, email address, professional license information, purchase history, survey responses, and Account activity data.

14.2 Data Use

PBS may use data collected through the Program for purposes including but not limited to: Program administration and Points tracking; personalized marketing communications and product recommendations; segmented messaging based on professional service focus and purchasing behavior; analytics and reporting to improve the Program and PBS's product offerings; fraud detection and prevention; and compliance with applicable legal and regulatory obligations.

14.3 Communications; How to Opt Out

By enrolling in the Program Members may consent to receive transactional and promotional communications related to the Program via email and text (SMS/MMS), including but not limited to Points balance notifications, expiration warnings, promotional offers, and Program updates. You understand and agree that the Program communications may be sent to you using automated technologies, including CRM systems or text platforms.

Members may opt out of promotional email communications at any time by updating your account or emailing PBS Customer Support; however, transactional emails necessary for the administration of the Program (including expiration notices) may not be opted out of while the Member maintains an active Account. To opt-out of the receiving text messages, text STOP (or "STOPALL," "END," "QUIT," "CANCEL," "OPTOUT," "REVOKE," OR "UNSUBSCRIBE") in reply to any of the Program messages you receive. A text message will then be sent to your number confirming the cancellation, but no more messages will be sent after that one.

15. Notice of Financial Incentive / Bona Fide Loyalty Program

The Program collects personal information and offers certain benefits which may be interpreted as a "financial incentive" program under California law or a "bona fide loyalty program" under Colorado law. Under California law, the value of your personal information to us is related to the value of the free products or other benefits that you obtained or that are provided as part of the Program, less the expense related to offering those products or benefits to Program participants.

16. GENERAL PROVISIONS

16.1 Entire Agreement

These Terms, together with the PBS Privacy Policy and any other policies or guidelines expressly incorporated herein by reference, constitute the entire agreement between PBS and each Member with respect to the Program and supersede all prior or contemporaneous agreements, understandings, representations, and warranties, whether written or oral, relating to the Program.

16.2 Severability

If any provision of these Terms is held to be invalid, illegal, or unenforceable by a court of competent jurisdiction, such invalidity, illegality, or unenforceability shall not affect any other provision of these Terms, and the remaining provisions shall continue in full force and effect. The invalid, illegal, or unenforceable provision shall be modified to the minimum extent necessary to make it valid, legal, and enforceable while preserving the original intent of the provision.

16.3 Waiver

No failure or delay by PBS in exercising any right, power, or remedy under these Terms shall operate as a waiver thereof, nor shall any single or partial exercise of any such right, power, or remedy preclude any other or further exercise thereof or the exercise of any other right, power, or remedy.

16.4 Assignment

PBS may assign or transfer its rights and obligations under these Terms to any affiliate or successor entity without the consent of Members. Members may not assign or transfer their Account, Points, Store Credit, or any rights under these Terms to any third party without the prior written consent of PBS.

16.5 Force Majeure

PBS shall not be liable for any failure or delay in the performance of its obligations under the Program to the extent such failure or delay is caused by circumstances beyond its reasonable control, including but not limited to acts of God, natural disasters, pandemics, war, terrorism, civil unrest, government actions, labor disputes, power failures, internet or telecommunications failures, or failures of third-party service providers (including the Program Platform).

16.6 Headings

The section headings used in these Terms are for convenience of reference only and shall not affect the interpretation or construction of these Terms.

17. Changes to Terms

From time to time, we review these Terms to ensure that they comply with applicable law. Consequently, we reserve the right to update and revise these Terms at any time. We will notify you if these Terms are updated by updating the "Last Updated" section of these Terms. These Terms are effective as of the "Last Updated" date provided herein. Your continued use of the Site signifies your consent to the Terms, as of the "Last Updated" date.
